<p dir="ltr">This Affiliate Agreement (&quot;Agreement&quot;) is made between HiZoo (&quot;Brand&quot;) and the individual or entity participating as an affiliate (&quot;Affiliate&quot;) in HiZoo&#x2019;s affiliate marketing program (&quot;Program&quot;). Participation in the Program indicates acceptance of the following terms:</p><h2 dir="ltr" id="1-affiliate-enrollment-and-acceptance"><span style="text-decoration:none;">1. Affiliate Enrollment and Acceptance</span></h2><p dir="ltr"><span style="text-decoration:none;">By signing up for the Program through HiZoo&#x2019;s website, the Affiliate automatically agrees to all conditions displayed in this Agreement. The Affiliate agrees to participate in the Program to promote HiZoo products through a unique affiliate link or discount code provided upon enrollment.</span></p><h2 dir="ltr" id="2-commissions-and-discounts"><span style="text-decoration:none;">2. Commissions and Discounts</span></h2><ul><li dir="ltr" style="text-decoration:none;"><p dir="ltr"><span style="text-decoration:none;">Affiliates earn a 25% commission on net sales generated from their unique affiliate link or code.</span></p></li><li dir="ltr" style="text-decoration:none;"><p dir="ltr"><span style="text-decoration:none;">Customers using the affiliate link or code will receive a 10% discount on their purchases.</span></p></li></ul><h2 dir="ltr" id="3-commission-payout-schedule"><span style="text-decoration:none;">3. Commission Payout Schedule</span></h2><p dir="ltr"><span style="text-decoration:none;">Commissions are calculated and paid out twice monthly, specifically on the 5th and 20th of each month via PayPal. HiZoo employs Social Snowball&#x2019;s Custom Delay feature, setting a 30-day commission maturation period aligned with HiZoo&#x2019;s standard return policy timeframe. The 30-day maturation period begins once the purchased product arrives at the customer. This ensures any commissions associated with orders that are returned or canceled within this maturation period will automatically be canceled, thereby preventing payouts for refunded or canceled orders. HiZoo reserves the right to withhold commission payments for transactions associated with any order refunded or canceled through its online store for any reason, even after the 30-day store refund policy. In such cases, refunds will be deducted from the next scheduled payout. Affiliates will not be personally asked to repay these commissions.</span></p><p dir="ltr"><span style="text-decoration:none;">Due to potential issues beyond HiZoo&#x2019;s control with third-party payment providers (such as Trolley), HiZoo reserves the right to extend the payout date by an additional 30 days in exceptional cases. Affiliates will be promptly notified in the event of such delays.</span></p><h2 dir="ltr" id="4-reporting-and-tracking"><span style="text-decoration:none;">4. Reporting and Tracking</span></h2><p dir="ltr"><span style="text-decoration:none;">HiZoo will provide the Affiliate access to an online dashboard or regular reports through Social Snowball (or an equivalent system) to track sales attributed to the Affiliate&#x2019;s link/code. These reports will include the number of sales, total revenue, and commissions earned, enabling the Affiliate to verify commission calculations.</span></p><h2 dir="ltr" id="5-affiliate-responsibilities"><span style="text-decoration:none;">5. Affiliate Responsibilities</span></h2><ul><li dir="ltr" style="text-decoration:none;"><p dir="ltr"><span style="text-decoration:none;">Affiliate must comply with applicable laws, regulations, and guidelines, including clearly disclosing affiliate relationships per FTC requirements.</span></p></li><li dir="ltr" style="text-decoration:none;"><p dir="ltr"><span style="text-decoration:none;">Affiliate agrees not to make false or misleading claims about HiZoo products or engage in deceptive practices.</span></p></li><li dir="ltr" style="text-decoration:none;"><p dir="ltr"><span style="text-decoration:none;">Affiliates are solely responsible for all promotional content and activities.</span></p></li></ul><h2 dir="ltr" id="6-content-usage-rights"><span style="text-decoration:none;">6. Content Usage Rights</span></h2><p dir="ltr"><span style="text-decoration:none;">Affiliate grants HiZoo an irrevocable, perpetual, worldwide, royalty-free license to use, reproduce, modify, distribute, and display any content created by the Affiliate for promoting HiZoo products, including but not limited to posts, videos, images, and other promotional materials. HiZoo may utilize this content across its social media channels, websites, email marketing, and paid advertisements without further compensation to Affiliate.</span></p><h2 dir="ltr" id="7-prohibited-activities-and-penalties"><span style="text-decoration:none;">7. Prohibited Activities and Penalties</span></h2><ul><li dir="ltr" style="text-decoration:none;"><p dir="ltr"><span style="text-decoration:none;">Affiliate Fraud:</span><span style="text-decoration:none;">&#xA0;Affiliate fraud&#x2014;including self-orders or artificially inflating commissions&#x2014;will result in immediate termination from the Program, cancellation of all pending commissions, reclamation of previously paid fraudulent commissions, and a penalty of $10,000 USD.</span></p></li><li dir="ltr" style="text-decoration:none;"><p dir="ltr"><span style="text-decoration:none;">Confidentiality Breach:</span><span style="text-decoration:none;">&#xA0;Affiliates must not disclose any confidential or proprietary information from HiZoo. Breaches will incur a penalty of $2,500 USD and immediate termination from the Program.</span></p></li></ul><h2 dir="ltr" id><br></h2><h2 dir="ltr" id="8-intellectual-property"><span style="text-decoration:none;">8. Intellectual Property</span></h2><p dir="ltr"><span style="text-decoration:none;">Affiliates do not gain ownership of HiZoo&apos;s intellectual property. Affiliates are granted a limited, non-exclusive, revocable right to use HiZoo&#x2019;s trademarks and promotional materials solely to promote HiZoo products under this Agreement.</span></p><h2 dir="ltr" id="-1"><br></h2><h2 dir="ltr" id="9-liability-and-indemnification"><span style="text-decoration:none;">9. Liability and Indemnification</span></h2><p dir="ltr"><span style="text-decoration:none;">Each party agrees to indemnify and hold harmless the other from any claims, liabilities, damages, or losses arising from breaches of this Agreement or related misconduct. Liability is limited to the total commissions earned by Affiliate under this Agreement, except in cases of fraud, gross negligence, or willful misconduct.</span></p><h2 dir="ltr" id="10-termination"><span style="text-decoration:none;">10. Termination</span></h2><p dir="ltr"><span style="text-decoration:none;">Either party may terminate this Agreement at any time by providing written notice. Upon termination, Affiliate must immediately cease all promotional activities and use of HiZoo&#x2019;s intellectual property. Certain clauses, including confidentiality, indemnification, content usage rights, and penalties, shall survive termination.</span></p><h2 dir="ltr" id="11-governing-law"><span style="text-decoration:none;">11. Governing Law</span></h2><p dir="ltr"><span style="text-decoration:none;">This Agreement is governed by the laws of the State of Massachusetts, USA. All disputes arising from or related to this Agreement shall be resolved exclusively in Massachusetts courts.</span></p><h2 dir="ltr" id="12-affiliate-terms"><span style="text-decoration:none;">12. Affiliate Terms</span></h2><p dir="ltr"><span style="text-decoration:none;">Affiliate&#x2019;s participation in the Program is subject to the standard terms and conditions of HiZoo&#x2019;s affiliate program (provided those terms do not conflict with this Agreement). The affiliate link and discount code provided to the Affiliate shall remain active at HiZoo&#x2019;s discretion. HiZoo reserves the right to discontinue or alter the affiliate program (or the Affiliate&#x2019;s participation in it) with reasonable notice, provided that any commissions earned up to the date of discontinuation will still be paid.</span></p><h2 dir="ltr" id="13-miscellaneous"><span style="text-decoration:none;">13. Miscellaneous</span></h2><ul><li dir="ltr" style="text-decoration:none;"><p dir="ltr"><span style="text-decoration:none;">This Agreement represents the complete understanding between the parties regarding affiliate participation.</span></p></li><li dir="ltr" style="text-decoration:none;"><p dir="ltr"><span style="text-decoration:none;">Amendments must be made in writing.</span></p></li><li dir="ltr" style="text-decoration:none;"><p dir="ltr"><span style="text-decoration:none;">Electronic acceptance of this Agreement is valid and binding.</span></p></li></ul><p dir="ltr"><span style="text-decoration:none;">By participating in HiZoo&#x2019;s affiliate program, the Affiliate acknowledges full understanding and acceptance of these terms.</span></p><p><br></p>
